يتناول هذا البحث موضوع الآثار القانونية لانقسام الشركات في إطار النظام القانوني السعودي، مع مقارنة للأنظمة القانونية في بعض التشريعات العربية. يستعرض البحث الأسس القانونية التي تحكم عمليات انقسام الشركات، ويبحث في الآثار المترتبة على هذه العمليات من زوايا مختلفة تشمل حماية حقوق الدائنين والمساهمين وحمَلة السندات. في القسم الأول يقدم البحث تعريفًا شاملًا لمفهوم انقسام الشركات، ويستعرض التمييز بينها وبين العمليات المشابهة مثل والتحول والإحالة الجزئية. كما يتطرق إلى الشروط القانونية والإجراءات التي تنظم عملية الانقسام وفقًا للنظام السعودي والقوانين المقارنة. في القسم الثاني يركز البحث على الآثار القانونية لانقسام الشركات، مع تحليل عميق لتأثير الانقسام على التزامات الشركة تجاه الدائنين والمساهمين. يستعرض البحث أيضًا حقوق حملة السندات في مختلف الأنظمة، مشيرًا إلى التباين بين الدول في حماية هذه الحقوق، حيث تقدم بعض الأنظمة مثل النظام المصري حماية خاصة، بينما تفتقر التشريعات في الكويت والإمارات إلى نصوص صريحة توضح كيفية حماية حقوق حملة السندات أثناء عمليات الانقسام. من خلال المقارنة، يسلط البحث الضوء على نقاط القوة والضعف في التشريعات المختلفة، خاصة فيما يتعلق بمسؤولية الشركات الناشئة عن الانقسام تجاه الديون السابقة وحقوق المساهمين الصغار. كما يناقش البحث الجوانب التي لم يتم تناولها بالتفصيل في بعض الأنظمة مثل الانقسام المتبوع بالاندماج وحماية الموظفين في الشركات الناشئة عن الانقسام. يختتم البحث بتقديم مجموعة من التوصيات، من بينها تعزيز حماية حقوق الدائنين وحملة السندات، وتوفير تنظيم قانوني أكثر وضوحًا لحماية حقوق المساهمين الصغار.   Abstract: This paper deals with the legal effects of corporate splits within the Saudi legal system, with a comparison of the legal systems in Egypt, Kuwait, and the UAE. The research reviews the legal bases that govern corporate splits, and examines the implications of these operations from different angles, including the protection of the rights of creditors, shareholders, and bondholders. The research aims to clarify how these processes are regulated in the countries under study, highlighting the legislative aspects that need to be improved to ensure a balance between the flexibility of companies in restructuring and the protection of the rights of affected parties. In the first section, the research provides a comprehensive definition of the concept of corporate splitting, and reviews the distinction between them and similar processes such as transformation and partial referral. It also addresses the legal conditions and procedures that regulate the process of division in accordance with the Saudi system and comparative laws. In the second section, the research focuses on the legal implications of a corporate split, with a deep analysis of the impact of the split on the company's obligations to creditors and shareholders. The research also reviews the rights of bondholders in different systems, pointing to the disparity between countries in protecting these rights, as some systems such as the Egyptian system provide special protection, while legislation in Kuwait and the UAE lacks explicit texts explaining how to protect the rights of bondholders during the split. By comparison, the research highlights the strengths and weaknesses of different legislations, especially with regard to the responsibility of split startups towards past debt and the rights of small shareholders. The research also discusses aspects that are not addressed in detail in some systems such as split-followed merger and employee protection in companies arising from a split. The research concludes with a set of recommendations, including strengthening the protection of creditors and bondholders' rights, and providing clearer legal regulation to protect the rights of small shareholders
