ـ نظراً لأهمية الزمن في حرکة التعامل بين الناس، وسرعة تقلبات السوق وتأثير سياسات الدول ومواقفها الاقتصادية بأسعار السلع، وشيوع وسائل الاتصال الحديثة والسريعة کالهاتف والتلکس والفاکس، فإن عدم تنفيذ الالتزام من جانب أحد أطراف التعاقد أو التأخر فيه يسبب ضرراً کبيراً للطرف الآخر؛ لذا يعمد کثير من المتعاقدين تضمين العقد أو في اتفاق لاحق، اتفاق سابق على تقدير التعويض الذي يستحقه أحد طرفي العقد في حالة عدم تنفيذ الطرف الآخر لالتزاماته کلها أو بعضها، أو في حالة تأخره في التنفيذ متى سبب عدم التنفيذ أو التأخر فيه ضرراً حقيقياً وسوف نتناول في بحثنا هذا بيان أحکام هذا الشرط ، وبيان مدى صحة اقترانه بالعقد ،والحکم الشرعي لاقتضاء التعويض المنصوص عليه في العقد وذلک فيما يلي:
